Lead Matrix

General terms and conditions of sale

Version 2026-10, applicable between H Holding SARL ("Lead Matrix") and any business customer ("the Customer"). The French version prevails in case of discrepancy.

1. Purpose

These general terms ("Terms") govern the provision by Lead Matrix of a B2B sales prospecting service combining software, an online platform and human support (the "Service"). They apply to every subscription, together with the specific terms signed by the Customer (plan, price, commitment period). In case of conflict, the specific terms prevail.

The Service is reserved for businesses. The Customer declares acting for professional purposes.

2. Description of the Service

Depending on the plan, the Service includes:

  • identifying companies and contacts matching the targeting defined with the Customer;
  • writing and sending prospecting email sequences from dedicated sending domains managed by Lead Matrix;
  • analysing replies and making interested prospects available;
  • access to the Lead Matrix platform (real-time dashboard, pipeline, conversations, targeting, exclusion lists) for the number of users included;
  • support from the Lead Matrix team (workshops, reviews, optimisation) at the frequency set by the plan.

Stated volumes (prospects contacted, campaigns) are indicative caps. Lead Matrix adapts the sending pace to preserve deliverability.

3. Subscription

Subscription takes place online. The contract is formed once the Customer has electronically signed the specific terms and these Terms. The electronic signature used (simple electronic signature under the eIDAS regulation) comes with an evidence file: declared identity of the signatory, IP address, date and time, digital fingerprint of the signed document. The Customer receives a PDF copy of the signed contract.

The signatory declares having authority to bind the Customer.

4. Term and commitment

The contract takes effect on the signature date. The chosen commitment period (3, 6 or 12 months) runs from the 1st day of the month following signature. Operations start once the first payment has been received.

At the end of the commitment period, the contract continues for successive one-month periods unless terminated by either party in writing (email) at least 30 days before the end of the current period.

No early termination is possible during the commitment period, except for serious breach by the other party (section 11).

5. Prices and payment

Prices are exclusive of VAT. As Lead Matrix is established in Luxembourg, Luxembourg VAT at the applicable rate is charged to customers established in Luxembourg and to customers established in another EU member state whose VAT number has not been validated. Customers established in another member state whose VAT number is validated on the European Commission's VIES system are invoiced without VAT, the tax being reverse-charged by the Customer. Services supplied to customers established outside the European Union are outside the scope of Luxembourg VAT. The Customer shall promptly inform Lead Matrix of any change to its VAT number.

The subscription is billed per calendar month in advance, from the 1st day of the month following signature; the period between signature and that day is dedicated to setup. Setup fees, where applicable, are billed with the first instalment; they are waived for a 12-month commitment.

Payment is made by bank transfer. The first instalment is invoiced on a pro forma basis; subsequent instalments are invoiced on the 20th of each month for the following month and must be paid no later than the 1st of the invoiced month. Failing payment by that date, Lead Matrix temporarily suspends the Customer's campaigns, after an email reminder, until payment is received; amounts remain due during the suspension, which does not extend the commitment period.

Late payment automatically incurs, in accordance with the amended Luxembourg law of 18 April 2004 on payment periods and late-payment interest, interest at the statutory rate applicable between businesses and a fixed recovery fee of €40. If a formal notice remains unanswered for 15 days, Lead Matrix may suspend the Service.

6. Obligations of Lead Matrix

Lead Matrix undertakes to use the means necessary to perform the Service properly. This is an obligation of means: Lead Matrix does not guarantee a number of replies, meetings or sales.

7. Obligations of the Customer

The Customer undertakes to:

  • provide accurate information about its offer, target and company;
  • ensure its offer is lawful and that approved messages do not infringe third-party rights;
  • provide contacts to exclude (existing customers, known objections) through the "Do not contact" list;
  • handle the prospects provided in compliance with applicable regulations;
  • keep its platform credentials confidential.

8. Personal data and prospecting

Business email prospecting is based on legitimate interest, with messages relevant to the recipients' role, clear identification of the sender and a simple way to object to further emails. Objections are applied without delay.

For prospect data processed on behalf of the Customer, the parties enter into the data processing agreement (Article 28 GDPR) attached to the contract. Data about the Customer and its users is processed in accordance with the Lead Matrix privacy policy.

9. Ownership

Interested prospects, notes and the Customer's pipeline belong to the Customer and can be exported at any time from the platform. Lead Matrix's software, platform, methods and content remain its exclusive property; the Customer is granted a personal, non-transferable right of use for the duration of the contract.

10. Confidentiality

Each party shall keep confidential any non-public information about the other party obtained in connection with the contract, during its term and for three years after it ends.

11. Liability, suspension and termination

Lead Matrix's liability is limited to direct damage and capped at the amount paid by the Customer over the last 12 months. Lead Matrix is not liable for indirect damage (loss of revenue, customers or reputation).

In the event of a serious breach not remedied within 30 days of a formal notice, the other party may terminate the contract automatically. Lead Matrix may immediately suspend the Service in case of unlawful use or use contrary to these Terms.

12. Force majeure

Neither party is liable for a failure resulting from force majeure as defined by the case law of the Luxembourg courts.

13. Governing law and disputes

The contract is governed by Luxembourg law. Failing amicable settlement, any dispute falls within the exclusive jurisdiction of the courts of Luxembourg City.
